Terms of Service

1. Who we are

ShopQR ("ShopQR", the "Service") is operated by Sheriax Solutions (OPC) Private Limited("Sheriax", "we", "us", "our"), a One Person Company registered in India, with its principal place of business in Chennai, Tamil Nadu. ShopQR is a software-as-a-service platform that lets independent food and beverage merchants ("Merchants") publish digital menus, accept orders from their customers ("Customers"), and manage day-to-day store operations. Sheriax itself does not sell food, drinks, or physical goods — Merchants do.

2. Acceptance of these Terms

By accessing or using ShopQR — whether as a Merchant claiming an invite, a Merchant administrator signing in, a Customer placing an order on a Merchant's storefront, or a visitor browsing — you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use ShopQR.

You must be at least 18 years old to create or administer a ShopQR Merchant account. If you are placing orders as a Customer, you must be legally capable of entering into a contract in your jurisdiction.

3. Account & access

  • ShopQR is currently invite-only for Merchants. Sheriax issues an invite link to a verified contact at the Merchant; the recipient claims that link and becomes the linked admin for the shop.
  • You are responsible for maintaining the security of your sign-in credentials (Google, phone OTP, or email + password) and for every action taken under your account. Notify us immediately at support@shopqr.org if you suspect unauthorised access.
  • Merchants may invite additional team members as managers or staff using the in-product invite flow. The Merchant's owner role is responsible for all actions taken by team members it invites.

4. Merchant responsibilities

  • Accuracy: Merchants are solely responsible for the accuracy of their menu (item names, prices, allergens, tax rates, availability, photos, descriptions) and for fulfilling every confirmed order placed through ShopQR.
  • Compliance: Merchants must comply with all applicable laws including food safety regulations (FSSAI), GST and tax obligations, consumer protection rules, and any state or municipal licensing requirements for their operating location.
  • Independent operation: Each Merchant operates as an independent business. Sheriax is a software vendor, not an agent, employee, franchisor, or business partner of the Merchant, and is not a party to any sale between a Merchant and a Customer.
  • Customer communication:Merchants who contact Customers via WhatsApp, SMS, or any other channel must do so only in connection with the Customer's order or with appropriate consent, and must comply with WhatsApp Business policies, TRAI regulations, and DPDP 2023.

5. Customer responsibilities

  • Customers place orders directly with the Merchant. Payment, fulfilment, refunds, exchanges, and any complaints are resolved between the Customer and the Merchant.
  • Customers must provide an accurate WhatsApp number so the Merchant can contact them about their order, and a correct delivery address for delivery orders.
  • Customers must not abuse the platform with fake orders, abusive messages to Merchants, or fraudulent payment instruments.

6. Payments

ShopQR integrates with Razorpayas its payment gateway for online card, UPI, and netbanking transactions. Some Merchants additionally accept direct UPI deep-links or cash on delivery. Payment funds flow directly from the Customer to the Merchant (or to the Merchant's Razorpay sub-account); Sheriax does not hold, custody, or distribute Customer funds. Sheriax is not responsible for payment failures attributable to the payment gateway, the Customer's bank, or the Merchant's collection setup.

Where a payment dispute or chargeback arises, the Customer should raise it with the Merchant first. Razorpay's standard dispute and refund timelines (typically 5–7 working days) apply. See our Refund & Cancellation Policy for more.

7. Fees, trial & billing

  • Trial:New Merchants receive a 14-day free trial from shop activation. Full feature access during the trial is at Sheriax's discretion and may be limited by feature flags configured at onboarding.
  • Subscription:After the trial, ShopQR is offered on a paid monthly subscription. Pricing comprises a base platform fee of ₹500 per shop per month, plus optional feature add-ons priced individually (typically between ₹300 and ₹1,500 per feature per month). Specific pricing is set per shop at onboarding and is shown in the Merchant's admin panel before the trial ends.
  • Invoicing: Sheriax issues monthly tax invoices containing applicable GST. Subscription fees are charged in advance and are exclusive of any third-party costs (e.g. WhatsApp Business Platform per-message charges) which are billed separately or settled directly with the relevant provider.
  • Non-payment: If a subscription invoice remains unpaid for more than 7 days past its due date, Sheriax may suspend Merchant access to the admin panel until the balance is cleared. Customer-facing storefronts may continue to display contact details for the Merchant during suspension.
  • Price changes:We will give Merchants at least 30 days' notice of any subscription price change via email. Continued use of ShopQR after the change takes effect constitutes acceptance of the new price.

8. Cancellation

A Merchant may cancel at any time by writing to legal@shopqr.org from the email address on the shop's owner record. Cancellation takes effect at the end of the current paid billing period; no pro-rated refund of the current month is provided. See our Refund & Cancellation Policy for the full policy.

9. Prohibited use

You may not use ShopQR to:

  • Sell anything illegal under Indian law, including alcohol without a valid licence, tobacco to minors, controlled substances, or weapons.
  • Misrepresent prices, tax, ingredients, allergens, weights, or product origin.
  • Operate multiple shops to evade billing, feature gates, or quota limits.
  • Send unsolicited bulk messages to Customers, including promotional WhatsApp messages outside the original transactional context.
  • Scrape, reverse-engineer, decompile, or attempt to access another Merchant's data or any non-public portion of the Service.
  • Upload malware, attempt denial-of-service attacks, or otherwise interfere with the integrity, performance, or security of the Service.

10. Intellectual property

ShopQR — including the platform code, user interface, design system, documentation, and the ShopQR name and logo — is the exclusive property of Sheriax. Merchants retain ownership of their shop name, menu content, photos, branding, and Customer lists, and grant Sheriax a non-exclusive, worldwide, royalty-free licence to host, display, transmit, and process that content for the purpose of providing the Service. This licence terminates when the shop is deleted or when the Merchant's account is closed.

11. Service availability

Sheriax will use commercially reasonable efforts to keep ShopQR available, but does not warrant uninterrupted access. We may take the Service offline for maintenance, security incidents, or provider-side outages without prior notice. We do not currently offer a formal Service Level Agreement.

12. Suspension & termination

Sheriax may suspend or terminate any Merchant account that:

  • Violates these Terms or applicable law;
  • Generates fraud, chargeback, or food-safety complaints disproportionate to its volume;
  • Has remained unpaid for more than 30 days past invoice due date;
  • Is suspected of operating to defraud Customers or Sheriax.

Where practical we will give reasonable notice. After termination we retain transaction and audit records for the period required by law; everything else is scrubbed per our Privacy Policy.

13. Disclaimer of warranties

ShopQR is provided as-is and as-available, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. Sheriax does not warrant that the Service will be uninterrupted, error-free, or secure against unauthorised access.

14. Limitation of liability

To the maximum extent permitted by applicable law, Sheriax will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost sales, lost data, or loss of goodwill, arising out of or in connection with the use of (or inability to use) ShopQR. Sheriax's total aggregate liability to any Merchant or Customer for claims arising from the Service will not exceed the subscription fees actually paid by the affected Merchant to Sheriax in the six (6) months preceding the event giving rise to the claim, or ₹10,000, whichever is higher.

15. Indemnification

Merchants will indemnify and hold Sheriax harmless from any claim, loss, or liability (including reasonable legal fees) arising out of the Merchant's breach of these Terms, violation of applicable law, sale of any item through the Service, or content uploaded by the Merchant to the Service.

16. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Service that cannot be resolved by good-faith discussion will be submitted to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to active Merchants at least 14 days before the changes take effect. The "Last updated" date at the top of this page always reflects the current version. Continued use of ShopQR after the effective date constitutes acceptance of the revised Terms.
